Petitions and Consultation

Petitions to the Council are be submitted in writing and be written in Swedish. The petition is to describe the circumstances which provide the basis for the petition.  An incomplete submission may be rejected.

The petition is to include the company registration number and personal identity number (or equivalent) of the companies and persons to which the petition relates.

Petitions are to be submitted as an attachment to an e-mail, both in the form of a signed PDF file and as a Word file.

For urgent cases, the Secretariat of the Council should be contacted by telephone before the petition is submitted in writing.  

It is the responsibility of anyone who contacts the Council to provide exhaustive, accurate and clear information relevant to the case to provide the basis of the Council’s deliberations. Questions from the Council are to be answered without delay and all contact with the Council is to be conducted transparently and urgently.

Consultation

Companies, advisers or other parties may request informal discussion of a matter with the Secretariat of the Council without the matter being formally submitted to the Council. Such consultation can occur by e-mail or by telephone.

Any information or opinion provided by the Secretariat as part of a consultation is non-binding for the Swedish Securities Council. If the party who has consulted the Council on a particular matter subsequently requests that the Council issue a formal ruling on the matter, it is to be heard unconditionally and without prejudice. The content of consultations is not published.

For consultations that require investigation, the minimum fee is SEK 3,000. Questions of a general or simple nature are answered free of charge.

Fees

The Swedish Securities Council charges a fee for processing petitions to the Council and for consultations.

For matters submitted for ruling by the Council, the basic fee is SEK 115,000 (excl. VAT). Additionally, payment to participating Council members and the rapporteur is also charged.

For rulings issued by the Chair or the Director General of the Council, the basic fee is SEK 30,000 (excl. VAT). Additionally, payment to the Chair and the rapporteur is also charged.

If a petition is revoked on the day before or on the day the meeting was to have taken place, half of the basic fee is charged.

For consultation that requires some research, the minimum fee is SEK 3,000 (excl. VAT). Questions of a general or simple nature are answered free of charge.

Invoicing occurs when processing of the case is completed. The part of the fee covering the basic fee and the lowest possible fee for the Chair and rapporteur are to be paid in advance before the processing of the request begins if the Council Secretariat so decides.

Unless otherwise agreed, the petitioner’s representative will be invoiced where applicable.
